Helix3 and Helix Ultimate are totally different templates, like two models of car. So there is no "one-click" method. So you have to manually recreate layout, add logo, set other settings... but custom.css is this same, so most things should work.

Changing default template will NOT delete/remove/modify your current site content, all will stay! So do'n not worry. But remember to uninstall all Helix3 plugins, then Helix3 Template itself after manual "migration" process.

Yes, there is Helix3 v3.0.3 update that added PHP 8.0.x support it will work perfectly, if your site is based on raw Helix3 template. With Template based on it it may not be so easy.
